By using Frontman or by providing your phone number to a Frontman subscriber, you agree to these Terms of Service.
SMS Communications
Frontman sends text message notifications related to job scheduling, appointment reminders, account alerts, and service-related information. By registering for a Frontman account or by providing your phone number to a Frontman subscriber for service, you agree to receive these communications. Message frequency varies. Message and data rates may apply. Reply STOP to cancel. Reply HELP for help. Consent is not a condition of purchase.
These Terms of Service ("Terms") govern your access to and use of Frontman, a field service management platform operated by Frontman ("Frontman," "we," "us," or "our"). By creating an account, accessing our platform, or using any Frontman services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity, and "you" refers to both you individually and that entity.
If you do not agree to these Terms, do not use Frontman.
You must be at least eighteen (18) years old and legally capable of entering into a binding contract to use Frontman. If you are creating an account on behalf of a business, you represent that you are authorized to do so.
You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at jortiz@frontman.co of any unauthorized access to your account. Frontman is not liable for any loss or damage arising from your failure to safeguard your credentials.
Frontman provides a cloud-based platform for field service businesses to schedule jobs, dispatch technicians, send estimates and invoices, accept payments, manage customer records, and send notifications to End-Customers via email and SMS. Features, functionality, and integrations may change from time to time.
Subscription plans. Frontman is offered on a paid subscription basis. Plans may be offered on an annual or, where available, monthly billing cycle. The current pricing is displayed on our website or within the Services at the time of purchase.
Billing. By subscribing, you authorize Frontman to charge your designated payment method on a recurring basis for the applicable subscription fee plus any applicable taxes. Subscriptions automatically renew at the end of each billing term at the then-current rate unless cancelled before the renewal date.
Payment processing. Payment processing is performed by our third-party payment processor, Stripe, Inc. ("Stripe"). By providing payment information, you agree to Stripe's terms of service and privacy policy. Frontman does not store full payment card numbers.
Invoice payments. When Frontman is used to collect payments from End-Customers, those payments are also processed through Stripe and disbursed according to the Stripe account associated with the Subscriber. Subscribers are solely responsible for their relationship with Stripe, for complying with Stripe's terms, and for any disputes, chargebacks, or refunds related to End-Customer payments.
Taxes. You are responsible for all applicable taxes arising from your use of the Services, other than taxes based on Frontman's net income.
Failed payments. If a payment fails, we may suspend or terminate your access to the Services until the amount owed is paid.
From time to time, Frontman may offer free trials or other promotional pricing. Unless otherwise stated, at the end of a free trial, your subscription will automatically convert to a paid subscription at the then-current rate, billed to your designated payment method, unless you cancel before the trial ends.
You may cancel your subscription at any time through the Services or by contacting jortiz@frontman.co. Cancellation takes effect at the end of your current billing period; you will retain access through that period and will not be charged for the next renewal.
Refund policy. Subscription fees are generally non-refundable. We may, at our sole discretion, issue prorated refunds in exceptional circumstances. Payments made by your End-Customers through Frontman are governed by your refund policies and by Stripe's dispute and refund mechanisms.
By creating a Frontman account, you consent to receive electronic communications from Frontman related to your account and the Services, including account notifications, billing communications, service changes, security alerts, and legal notices. These communications are part of your relationship with Frontman and are not subject to marketing opt-out. You may separately opt in to or out of marketing emails as described in our Privacy Policy. (Your consent to SMS communications is addressed in the SMS Communications section above.)
Frontman is designed to allow Subscribers to contact their own End-Customers about services the End-Customer has requested or is receiving. When you add an End-Customer's contact information to Frontman, or when an End-Customer provides their information through your Frontman booking page, you represent and warrant that:
(a) you have an existing or imminent business relationship with that End-Customer;
(b) you have the legal authority and any required consent to contact that End-Customer by email, SMS, and phone using the contact information you provide;
(c) the communications you send through Frontman to that End-Customer relate to services you are providing or have offered to provide to that End-Customer;
(d) you will comply with all applicable laws governing the contact and use of End-Customer information, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, California Consumer Privacy Act (CCPA), and any other applicable federal, state, or local laws.
You are solely responsible for the lawfulness of adding any End-Customer to Frontman and for the content of any messages sent to them through the Services. Frontman acts as a data processor with respect to End-Customer Data; you are the data controller.
You agree that you will not, and will not permit any third party to:
(a) use Frontman to send unsolicited commercial messages, spam, cold outreach, or marketing messages to recipients with whom you do not have a prior business relationship;
(b) use Frontman for any purpose unrelated to the legitimate operation of a home-service business or similar service business;
(c) upload or transmit any content that is unlawful, defamatory, harassing, abusive, fraudulent, infringing, obscene, or otherwise objectionable;
(d) attempt to gain unauthorized access to any part of the Services, other accounts, or our computer systems or networks;
(e) interfere with or disrupt the integrity, performance, or security of the Services;
(f) reverse engineer, decompile, or attempt to derive the source code of the Services except as expressly permitted by law;
(g) resell, sublicense, or provide the Services to third parties except to your own End-Customers in the ordinary course of your business;
(h) use the Services to violate the rights of any third party, including intellectual property, privacy, or publicity rights;
(i) use any automated means, including scraping or bots, to access or copy data from the Services without our express written permission;
(j) use the Services in any manner that could damage, disable, overburden, or impair our infrastructure or that of our third-party providers.
Frontman's intellectual property. The Services, including all software, designs, text, graphics, logos, and content (excluding Subscriber Content), are owned by Frontman or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely for your internal business purposes and in accordance with these Terms.
Subscriber Content. You retain ownership of all data, content, and information you submit to Frontman, including End-Customer Data, job records, invoices, photos, and notes ("Subscriber Content"). You grant Frontman a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit Subscriber Content solely to provide the Services to you.
Feedback. If you provide us with suggestions or feedback about the Services, you grant us an unrestricted, perpetual, royalty-free license to use that feedback without any obligation to you.
The Services integrate with or rely upon the following third-party services: Amazon Web Services (hosting and email), Stripe (payment processing), Telnyx (SMS and voice), and Intuit QuickBooks (accounting, as optionally enabled by you). Additional integrations may be added from time to time. Your use of any third-party service through Frontman may be subject to that provider's own terms and privacy policies. Frontman is not responsible for the performance, availability, data practices, or conduct of third-party services, and we disclaim any liability arising from them to the maximum extent permitted by law.
We strive to keep Frontman available and performant, but we do not guarantee uninterrupted access. The Services may be unavailable during scheduled maintenance, upgrades, or for reasons outside our reasonable control. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. FRONTMAN DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, TIMELY, OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONTMAN AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FRONTMAN'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FRONTMAN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Frontman and its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) your use of the Services;
(b) your violation of these Terms;
(c) your violation of any law or the rights of any third party, including any End-Customer;
(d) the addition of any End-Customer to the Services without proper authority or consent;
(e) the content of any message sent by or on behalf of you through the Services;
(f) Subscriber Content or any other content you submit to the Services.
By you. You may terminate your account at any time by cancelling your subscription as described in Section 8.
By us. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, have engaged in conduct harmful to Frontman or other users, have failed to pay amounts owed, or for any other reason at our discretion. We may also terminate these Terms for convenience on thirty (30) days' notice.
Effect of termination. Upon termination, your right to access and use the Services ends immediately. Sections of these Terms that by their nature should survive termination will survive, including Sections 10, 12, 15, 16, 17, 20, 21, and 22. Following termination, you may request an export of your Subscriber Content within thirty (30) days, after which we may delete it in accordance with our Privacy Policy.
We may update these Terms from time to time. When we make material changes, we will notify you through the Services, by email, or by updating the Effective Date. Your continued use of the Services after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and may cancel your subscription in accordance with Section 8.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution. Before filing any formal legal action, you agree to first contact us at jortiz@frontman.co and attempt in good faith to resolve any dispute informally. If we are unable to resolve the dispute within thirty (30) days, either party may pursue formal resolution.
Venue. Any legal action or proceeding arising out of or relating to these Terms or the Services that is not resolved informally shall be brought exclusively in the state or federal courts located in El Paso County, Texas, and you consent to the personal jurisdiction of those courts.
Entire agreement. These Terms, together with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and Frontman regarding the Services and supersede any prior agreements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.
No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Frontman.
